Constitution and By-Laws 2019

Article I: Name and Emblem

Section 1 ~ The name of the club is the Rose City Street Rods Incorporated of Portland, Oregon.

Section 2 ~ The emblem of the club is a Model A Sedan over a full blossomed rose with the club name above and Portland, Oregon below.

Article II: Objectives

Section 1 ~ To promote interests in various forms of street rodding.

Section 2 ~ To create good fellowship and sportsmanship among all members of the club.

Section 3 ~ To conduct club functions and activities in a manner befitting to the members of the street rodding sport. *

Section 4 ~ To promote safety in driving, automobile maintenance and overall vehicle operation.

Section 5 ~ The club will be a non-profit, charitable organization.

Article III: Membership

Section 1 ~ Any person of good character, sixteen years of age or older, interested in street rodding activities is eligible for membership. The person must own a 1972 or earlier domestic* automobile.

Section 2 ~ Initial membership includes a probationary period of six official RCSR gatherings* prior to being voted into the club. The probation shall include a minimum* of two regular membership meetings, two club events, and their vehicle inspection* which can be completed at a regular or special membership meeting. A vote will be taken by secret ballot at the probationary members sixth meeting.

Section 3 ~ *Conduct of membership, any member not acting in a responsible manner befitting a RCSR Member, will be subject to discipline by the Board of Directors, which could include immediate expulsion from the club, subject to the club’s final approval. A vote of three (3) members of the Board will constitute a majority-of-the-Board.

Section 4 ~ Returning members *bypass the probationary period allowing them to be voted in at first meeting following vehicle inspection.

Section 5 ~ All members, and their beneficiaries, hereby personally guarantee* to protect RCSR branded items by means of restricting use & visual public access once no longer affiliated with club or electing to remove their club plaque from car and return with club jacket patch to the treasurer for reimbursement.

Article IV: Initiation Fees and Dues

Section 1 ~ The Dues for members and spouse are $25.00* per year.

Section 2 ~ All dues are to be paid by the 2nd meeting in January. Any dues not paid by then will result in the members name to be dropped* from the roster.

Section 3 ~ Members are eligible to exchange their jacket patch for a new one every seven years.

Article V: Officers

Section 1 ~ The elected officers of the club include President, Vice-President, Secretary and Treasurer. This group of four will appoint a club representative. This group of five constitutes the Board of Directors.

Section 2 ~ A majority of the Board of Directors constitutes a quorum at any meeting of the Board of Directors.

Section 3 ~ All officers and directors are elected at the last meeting prior to the beginning of the new year, January 1st, and will assume offices at the first meeting of the new year. The term of service will be for twelve (12) months, or until their successors are duly appointed and qualified.

Section 4 ~ Nominations must be made from the floor during a regular meeting. All voting will be by secret ballot.

Article VI: Elections

Section 1 ~ All nominees for any office must be active members in good standing for a minimum of one year.

Section 2 ~ All elected officers and Board of Directors members must remain as active members in good standing for the duration of their terms of office.

Article VII: Duties of Officers

Section 1 ~ The president will preside over all meetings of the club; serve as chairman of the Board of Directors; act as ex-officio member of all committees; issue the call for regular and special meetings of the Board of Directors; schedule regular elections and be sure they are held in accordance with this constitution and carry out the directives of the Board of Directors.

Section 2 ~ The Vice President will perform all the duties of the President in his/her absence. In addition, the Vice President will take roll for attendance at the regular meetings.

Section 3 ~ The Secretary will record and maintain the minutes of the meetings of the club; maintain membership records; give notice of all regular and special meetings of the Board of Directors, based upon directives from the President; and supervise all records of the club.

Section 4 ~ The Treasurer will collect dues; collect all other income due the club; maintain the club accounting books; make payment from the club funds when so ordered by the Board of Directors; sign all club checks and make regular reports of the club’s financial status to the Board of directors.

Section 5 ~ Any vacancy of office will be appointed by the Board of Directors.

Article VIII: Meetings

Section 1 ~ Members in attendance of any regular meetings and in good standing shall constitute a quorum.

Section 2 ~ Regular membership meetings will be held *monthly on the second Sunday. All meetings shall be at a time and place set forth by the Board of Directors.

Section 3 ~ Meetings of the Board of Directors will be held when deemed necessary by the Board. Board consisting of a minimum of three (3) Board members. The meeting place will be determined by the board members.

Section 4 ~ Special membership meetings and special Board of Directors meetings may be called by the President.

Section 5 ~ Robert’s Rules of Order will be applied during meetings to affect parliamentary procedures, unless otherwise amended and provided or in the by-laws.

Section 6 ~ The order of business for all meetings of the club and the Board of Directors is as follows:

Section 7 ~ Committees of the club are:

Article IX: Amendments

Section 1 ~ The constitution and by-laws of Rose City Street Rods may be amended. All proposed amendments must be previously approved by Board of Directors. The approved amendments will be voted on at a regular or special meeting at which there is a quorum.

Section 2 ~ Approved and accepted amendments take effect immediately.
